These are the terms of use (“Terms of Use”) for the use of the services or functions on the websites owned and controlled by the company ERGANI SA Ophthalmic Trade & Surgical Supplies (“ERGANI SA”) in short “company”, including www.mannovit.gr (the “Websites”). We may add additional websites from time to time as we expand our healthcare offerings and therefore these “Terms of Use” will govern those new websites as they are added. You can access our Websites from a computer or mobile phone (eg through an iPhone app) and these Terms of Use govern your use of the Websites and your conduct, regardless of the means of access you use. You may use our interactive services (“Interactive Services”), Ratings and Reviews (“Q&A” service), Q&A service (the “Q&A Service”) and these “Terms of Use” govern use of these Interactive Services.

We also want to interact with you on third-party websites where we post content or accept your feedback, such as Facebook, Twitter, Instagram, etc. (“Third Party Sites”).Our Terms of Use and other categories of Websites provide guidelines (“Guidelines”) and rules and regulations (“Rules”) in relation to our Interactive Services, including services relating to Third Party Websites, but the “company” does not control these Third Party Sites, and these Terms of Use, our Guidelines and our Regulations do not apply to companies that we do not own or control, or to the actions of people that the “company” does not employ or manage. You should always review the terms of use posted on these Third Party Sites.

By using the Sites, you agree to these Terms of Use, our Privacy Policy and our Guidelines and Regulations, whether or not you have read them. If you do not agree to any of them, you should not use our Sites.

The “company” reserves the right at any time to change or modify any of the terms and conditions contained in the Terms of Use, Guidelines and Regulations from time to time, without notice and at its sole discretion. The compilation (ie the collection, organization and composition) of all content on the Websites is the exclusive property of the “company” and is protected by the copyright laws of Greece and the European Union.All software used on the Sites is the property of “the company” or its suppliers and is protected by the copyright laws of Greece and the European Union.Any use of the materials on the Websites – including reproduction, modification, copying, distribution, republication, transmission, display or performance – without the prior written permission of “the company”, is strictly prohibited.

Trademarks

All page headers, custom graphics and button icons are service marks of “company” and may not be used in connection with any product or service not offered by “company” in any manner likely to cause confusion to customers, or in any way that undermines or defames the “company”. All other trademarks, product names and company names or logos mentioned herein are the property of their respective owners, in this case VR Medical, www.vrmed.eu.

Product Information

The products displayed on the websites can only be ordered and delivered within Greece and Cyprus.Mannovit products displayed on the Websites may be available in selected stores/pharmacies in Greece and Cyprus.If a minor uses any product or good from the website, it should be only after the legal guardian or parent has discussed the product with the minor and has approved with their permission the purchase and use.

All materials and information presented by the “company” are intended to be used for personal educational or informational purposes only. The statements and products are not intended to diagnose, treat or prevent any condition or disease. All products must be used strictly in accordance with their instructions, precautions and guides. You should always check the ingredients of the products to avoid any allergic reactions. Use of the Sites should not serve as a substitute for professional medical advice: such Sites are for informational purposes only. Consult your own physician or specialist medical advisor regarding the use of any goods, products or information obtained from the Sites before using or relying on them. The products described on the Websites and Interactive Services, including any free samples Mannovit may provide you, are for your personal use only. You may not sell or resell the products you buy or receive from Mannovit. The “company” reserves the right, with or without notice, to cancel or reduce the quantity of any order paid for, or products to be supplied to you, which may involve a violation of these Terms of Use, as defined by ” company’ at its discretion.

Color information

While the “company” has attempted to accurately display the colors of its products, the actual colors you see are dependent on your monitor and may not be accurate.

Responsibility for Your Content

You are solely responsible for all content that you upload, post, email or otherwise transmit through or to the Sites, through the Interactive Services or otherwise, including submitting product ratings and reviews and all other data, profile information, files, text, software, applications, music, audio, photos, graphics, videos, messages, ratings, forum posts, comments, questions, answers or other materials (collectively “Content”). We will not accept content from you unless you are a registered user of the Sites.

 

The Use of Content on the Websites and Limitation of Liability

The “company” provides the Websites and Interactive Services and all other applications and services on the Websites only as a forum. The “company” is not responsible for any statements, representations or Content provided by its users in any public forum on the Sites or on any Third Party Site, including, without limitation, actions through the Interactive Services. Any Content is displayed for informational purposes only. More generally, the Content posted through or on the Sites or any Third Party Sites, including the Interactive Services, is not controlled by the “company”. The “company” cannot guarantee the accuracy, integrity or quality of such Content. You understand that by using the Interactive Services you may be exposed to Content that may be offensive, indecent or objectionable and the “company” is not responsible for any such Content and that the risk of harm or damage from the foregoing rests entirely with you. In no event shall the “company” be liable in any way for any Content, including but not limited to (i) any errors or omissions in any Content, or (ii) any loss or damage (including but not limited to personal injury or property damage ) of any kind arising from the use of any Content posted, emailed or otherwise transmitted through or to the Sites or through the Interactive Services.

You may access the Content and any other content of the Sites only as set forth in these Terms of Use and the Privacy Policy, and you agree not to engage in the use, copying or distribution of any content except as expressly provided here.

You agree not to bypass, disable or otherwise interfere with the Site’s Security-related features or features that prevent or restrict the use of any Content or impose restrictions on the use of the Site or its Content. You may not interfere with or disrupt the operation of the Websites, or the servers or networks connected to the Websites, or violate any conditions, procedures, policies or regulations of the networks connected to the Websites, including using any device, software or procedure to bypass automatic block headers. The “company” reserves all rights not expressly granted in and to the Content. When using the Interactive Services, you must not interrupt the normal flow of dialogue, cause a page to “scroll” faster than other users are able to type, or act in a manner that adversely affects the ability of other users to participate in real-time transactions.

Submit Content

By submitting Content to ‘company’, you represent and warrant that:

• You understand that you are participating in a public forum and that your Content will be available to all other users of the Sites, Interactive Services and potential Third Party Sites.
• You are the sole creator and owner of the intellectual property and other rights (or have the necessary licenses, rights, consents and authorizations to the “company” to use all intellectual property and other rights to allow the inclusion and use of the Content in the manner set forth by the Sites and these Terms of Use).

You also represent and warrant that any Content you submit:

• Does not harm minors.
• Does not infringe any copyright, patent, trademark, trade secret or other proprietary right or right of publicity or privacy of any person or entity.
• Does not violate any obligations you may have with respect to such Content under law or under a contractual or confidential relationship (such as, but not limited to, inside information, proprietary and confidential information obtained or disclosed as part of employment relationships or under confidential agreements ) .
• Does not violate any law, statute, ordinance or regulation (including, without limitation, those governing export control, consumer protection, unfair competition, prohibition of discrimination or false advertising).
• Is not, or would reasonably be considered to be, unlawful, harmful, defamatory, libelous, vulgar, obscene, intrusive, hateful, racially or religiously biased or offensive, abusive, harmful, threatening or disruptive to any person, partner or company.
• Not submitted for compensation or other consideration by Third Parties. It does not include information listed on other websites, addresses, email addresses, contact information or phone numbers.
• Complies in all respects with these Terms of Use, the Privacy Policy and all Guidelines and Regulations.
• Is not arbitrary or unauthorized advertising, promotional material, “junk mail”, “spam”, “chain letters”, “pyramid schemes” or any other form of abuse, and
• Does not contain viruses, “worms” or other potentially harmful programs or files for the computer.

The company does not endorse any Content or any opinion, recommendation or advice contained therein and the company disclaims all liability in connection with the Content.

If your Content includes ideas, recommendations, documents, or proposals for “company” through the Interactive Services, (a) such Content is not confidential or proprietary and “company” has no obligation of confidentiality, express or implied; , in relation to them. (b) “company” may already have something similar to such Content under consideration or development, and (c) you are not entitled to any compensation, payment or refund for such Content from “company” under any circumstances.

For any Content you submit, you grant to “the company” a worldwide, perpetual, irrevocable, non-exclusive, sublicensable, and transferable right to use and license to reproduce, communicate, distribute, copy, modify, completely delete, edit, adapt , publication, translation, public display, public performance, use, creation of derivative works and/or sale and/or distribution of such Content and/or incorporation of such Content in any form, medium or technology, whether now or from here and there, worldwide, without compensation to you. This license will survive the termination of these Terms of Use and your use of the Website.

Guidelines for Interactive Services

We want to know what you think about the products you’ve tried, bought, know and love, and we encourage you to use our Interactive Services. When writing a review or asking a question, please consider the following guidelines:

• Focus on the product and your personal experience
• Provide details about why you like or dislike a product, and
• All reviews, comments and questions submitted are read by our moderators and are subject to these Terms of Use.

You may not use our Interactive Services by impersonating any person or entity, including but not limited to any “company” employee, forum moderator, guide or server, or falsely state or otherwise mislead by misrepresenting the your connection to a person or entity. You may not use the Interactive Services to collect or store personal data about other users.

As mentioned above, the “company” reserves the right not to publish a review or to withdraw a posted review for any reason. Your review will be disqualified if it violates the Guidelines or the provisions in these Terms of Use regarding the submission of Content generally.

Third Party Content and Sites

The “company” may provide Third Party Content (“Third Party Content”) or links to Third Party Sites as a service to those interested in such information. “company” does not monitor, endorse or control any Third Party Content or their Websites, and the inclusion of links to Third Party Content or Third Party Websites does not imply any association or connection between “company” and Third Parties. “company” does not guarantee, endorse or adopt the accuracy or completeness of any Third Party Content or other Third Party Website. The “company” is not responsible for updating or evaluating Third Party Content or their Websites. You use Third Party Content and their Websites at your own risk. Third Party Content, including comments by Third Party users submitted to the “company” through the Interactive Services, do not necessarily reflect the views of the “company”.

 

Mobile Services

If you access the Sites through your mobile phone (for example, through an iPhone app), we do not currently charge for that access. Please note that your network charges and fees, such as text or data charges, still apply.

Modification of Content

All Content you submit is non-confidential and may be used at ‘company’s’ discretion. The “company” may not display the Content. However, the “company” and its designees shall have the right (but not the obligation) in their sole discretion to display, change, reduce or delete any Content on the Sites. In particular, the “company” and its agents shall have the right to remove any Content that the “company” considers in its sole discretion to violate the Guidelines or any other provision of these Terms of Use or if it is inappropriate. The “company” does not guarantee that you will have any recourse through the “company” to edit or delete any Content you have submitted. “company” reserves the right to incorporate any Content you submit into any account you may have, now or in the future, as a registered user of the Sites. Reviews, written comments, questions and answers are generally posted within two to four business days. However, the “company” reserves the right to remove or refuse to post any Content submission for any reason. You acknowledge that you, and not the “company”, are responsible for the quality of any Content you submit. None of the Content you submit is subject to any fiduciary duty on the part of “the company”, its agents, subsidiaries, affiliates or Third Parties to provide services to it and their respective directors, officers and employees.

Retention of Rights

The “company” reserves the right, at any time, without notice and in its sole discretion, to terminate your license to use the Interactive Services and the Websites and to block or prevent your future access to and use of the Interactive Services and the Websites.

The “company” may access, retain and disclose your Account information and Content if required by law or in the good faith belief that access, retention or disclosure is reasonably necessary to (i) to comply with legal process, (ii) enforce these Terms of Use, (iii) respond to claims that any Content infringes the rights of Third Parties, (iv) respond to your customer service requests, or (v) protect the rights, property, or personal safety of “the company” (and its employees), its users, and the public.

THE COMPANY PROVIDES THE SITES, THEIR CONTENT AND THE INTERACTIVE SERVICES “AS IS” AND MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE OPERATION OF THE SITES OR THE SITES CUSTOM SERVICES, INFORMATION, THE CONTENT, MATERIALS OR PRODUCTS, INCLUDED ON THE WEBSITES OR INTERACTIVE SERVICES. TO THE FULLEST EXTENT PERMITTED BY LAW, THE COMPANY DISCLAIMS ALL SUCH REPRESENTATIONS AND WARRANTIES, INCLUDING FOR EXAMPLE WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE PO. FURTHER, COMPANY DOES NOT REPRESENT OR WARRANT THAT THE INFORMATION ACCESSIBLE THROUGH THE SITES OR INTERACTIVE SERVICES IS ACCURATE, COMPLETE OR RECENT. Compensation

You agree to defend, indemnify and hold harmless the “company” (and its officers, directors, agents, subsidiaries, joint ventures, employees and Third Parties providing services to it) against all claims , claims, losses, liabilities, costs, expenses and liabilities of every kind and nature, known and unknown, including reasonable legal fees, arising out of (a) your use of and access to the Sites and Interactive Services, (b) your violation of any of these Terms of Use, (c) your breach of the representations and warranties set forth above with respect to the Content, (d) your violation of any law or right of a Third Party (including but not limited to copyright, property or privacy rights); or (e) from any claim that Content you submitted caused harm to a Third Party. This indemnification obligation will survive the termination of these Terms of Use and your use of the Sites and Interactive Services.

Applicable Law

The Websites and Interactive Services are created and controlled by the “company” in Athens, Greece. Therefore, the laws of the country will govern these Terms of Use, without giving effect to its conflict of laws principles. The “company” reserves the right to make changes to the Sites and these Terms of Use at any time.

Fraud Protection Program

As part of our order processing processes, we review all orders for fraud or other types of unauthorized or illegal activity. We reserve the right to refuse to process an order due to suspected fraud or unauthorized or illegal activity. In this case, we may reject your order, or our Customer Service Department may call you at the phone number you provided (or use your email address) to confirm your order. We also reserve the right to cancel accounts or refuse to ship orders to specific addresses due to alleged fraud or unauthorized or illegal activity. We take these steps to protect our customers, as well as ourselves, from fraud or other unauthorized or illegal activity.

General

Any claim or dispute between you and the “company” arising in whole or in part from the Sites or Interactive Services shall be decided exclusively by a court of competent jurisdiction located in Athens, Greece. If any provision of these Terms of Use is held invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms of Use, which shall remain in full force and effect. No waiver of any term of these Terms of Use shall be deemed a further or continuing waiver of that term or any other term, and the failure of “company” to assert any right or provision under these Terms of Use shall not constitute waiver of that right or provision.It is the express desire of the Parties to draft these Terms of Use and all related documents in the English language. TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU AND THE COMPANY AGREE THAT ANY REMEDY ARISING OUT OF OR RELATING TO THE SITES AND INTERACTIVE SERVICES MUST BE BROUGHT THROUGH SIX (6) MONTHS AFTER THE REQUEST FOR RELIEF. OTHERWISE, THIS REMEDY IS PERMANENTLY EXCLUDED.
